These Terms & Conditions (the “Terms”) govern your use of the Prairie Labs website (the “Site”) and the AI agent services Prairie Labs provides (the “Services”). The Site and Services are operated by Anderson Venture Holdings LLC, doing business as Prairie Labs (“Prairie Labs,” “we,” “us”). By using the Site or the Services you agree to these Terms. If you are using them on behalf of a business, you agree on that business’s behalf and confirm you have authority to do so.
1. The Services
Prairie Labs AI employees are AI systems that can answer calls, respond to messages, schedule work, and carry out other business tasks you configure. The specific features, usage limits and fees for your account are set out in the order form, proposal or checkout page you accept (your “Order”). If an Order conflicts with these Terms, the Order controls for that engagement.
2. Your account and your instructions
You are responsible for the information, instructions, scripts, prices and policies you give a Prairie Labs AI employee, and for keeping your account credentials secure. A Prairie Labs AI employee acts on what you provide; review its configuration before putting it in front of your customers and tell us promptly if something is wrong.
3. AI output
AI systems can make mistakes, misunderstand a request or produce information that is incomplete or inaccurate. You are responsible for reviewing how a Prairie Labs AI employee represents your business and for any decision you make based on its output. Do not rely on a Prairie Labs AI employee for emergency, medical, legal or financial advice, and do not configure it to give such advice.
4. Your legal obligations
You are responsible for using the Services in a way that complies with the laws that apply to you and your customers, including laws on:
- recording or monitoring calls and messages, and the notice or consent they require;
- telemarketing, automated calls and text messages (for example, the Telephone Consumer Protection Act);
- disclosing that a customer is speaking with an automated system where that is required;
- privacy and data protection for the personal information your customers share.
5. Acceptable use
You may not use the Site or Services to:
- break the law, or help anyone else do so;
- send spam or unsolicited calls or messages;
- impersonate a person or organisation, or mislead people about who they are dealing with;
- collect or process sensitive information (such as payment card numbers or health records) unless your Order expressly allows it;
- interfere with, probe or overload the Services, or try to access them other than through the interfaces we provide;
- copy, resell or reverse-engineer the Services.
We may suspend an agent or account that we reasonably believe is being used in breach of this section.
6. Fees and payment
Fees, billing periods and payment terms are set out in your Order. Unless the Order says otherwise, fees are due in advance, are non-refundable, and exclude taxes, which you are responsible for. We may suspend the Services if an invoice remains unpaid after we have given you notice.
7. Your data
You keep ownership of the content and data you provide and that a Prairie Labs AI employee handles for you (“Customer Data”). You give us permission to use Customer Data to provide, secure and support the Services. How we handle personal information is described in our Privacy Policy.
8. Our intellectual property
Prairie Labs owns the Site, the Services and everything we build to deliver them, including our software, models, prompts, designs and the Prairie Labs name and marks. These Terms do not transfer any of those rights to you. If you send us feedback, we may use it without obligation to you.
9. Confidentiality
Each of us will keep the other’s non-public business information confidential, use it only for the purposes of our relationship, and protect it with at least reasonable care.
10. Disclaimers
Except as expressly stated in an Order, the Site and Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Services will be uninterrupted or error-free.
11. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability arising out of or relating to these Terms or the Services will not exceed the fees you paid us in the twelve months before the event giving rise to the claim.
12. Indemnity
You will defend and indemnify Prairie Labs against third-party claims arising from your Customer Data, your instructions to a Prairie Labs AI employee, or your breach of sections 4 or 5.
13. Term and termination
These Terms apply for as long as you use the Site or Services. Either party may end an Order as it provides, or immediately on written notice if the other party materially breaches these Terms and does not fix the breach within 30 days. Sections that by their nature should survive termination will survive.
14. Governing law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. The state courts located in Pinellas County, Florida will have exclusive jurisdiction over disputes arising from these Terms or the website, except that disputes within federal subject-matter jurisdiction may be brought in the United States District Court for the Middle District of Florida.
15. Changes
We may update these Terms from time to time. When we do, we will change the date at the top of this page, and for material changes we will give account holders reasonable notice. Continuing to use the Site or Services after a change takes effect means you accept it.
